Pruvit Review (2026): Keto//OS, the FTC Warning and the Herbalife Deal

Pruvit is a Texas-based multi-level marketing company that sells ketone supplements, best known for Keto//OS, a powdered drink that raises blood ketone levels. It launched in 2015, led by CEO Brian Underwood, with backing from Terry LaCore's LaCore Enterprises. Its distributors are called Promoters.

Pruvit is a real company with a large product line, but its history includes an FTC warning letter in 2020 over coronavirus and income claims, repeated concerns about atypical earnings claims, and a decline in distributor commissions. In March 2025, Herbalife agreed to buy Pruvit's assets for about $25 million to $30 million, saying Pruvit would keep operating independently for up to two years. This review explains what that means for anyone considering joining.

What Pruvit Sells and What It Costs

Keto//OS comes in several versions, typically priced around $130 to $160 for 20 servings at retail. Pruvit also sells broths, canned drinks, MCT oil and other ketone products. At one serving a day, Keto//OS alone can run well over $150 a month.

What It Costs to Become a Promoter

Joining as a Promoter has cost about $49 a year. Pruvit has also offered a "Certified Coach" status for about $997, which includes training. A large share of that fee is paid back out to the upline as commissions and bonuses, which means the person recruiting you benefits when you buy it.

The bigger cost is ongoing product. To qualify for higher ranks and bonuses, Promoters need personal and team volume each month, which in practice usually means your own monthly autoship.

How the Pruvit Compensation Plan Works

Pruvit's plan is complex, with 37 ranks and several gamified bonuses:

1. Retail commissions of about 50% on a new customer's first order and 25% on later orders.
2. Unilevel commissions on team volume, up to 11 levels depending on rank.
3. Matching and generational bonuses for leaders.
4. Bonuses for coach sign-ups and new customer acquisition.
5. Gamified bonuses such as "Go MVP," "All-Star," VIP and a car bonus of up to $800 a month.

The many bonus names and 37 ranks make it hard to work out what a typical Promoter earns. That is a common feature of MLM plans: the headline bonuses are attractive, but only a small group qualifies for them.

The FTC Warning Letter and Earnings Claims

On April 24, 2020, the FTC sent Pruvit a warning letter. It flagged posts by Promoters suggesting that Pruvit products could boost immunity against the coronavirus, and videos claiming people could earn "$1,730 literally in their first 10 days" or "3, 4, 5, 6, 7 figures a year," alongside lifestyle images such as a "million-dollar house" and a Tesla. The FTC later sent Pruvit two Notices of Penalty Offenses, one in October 2021 about money-making claims and one in April 2023 about health claim substantiation. These notices went to hundreds of companies and are not accusations of wrongdoing, but they mean Pruvit has been formally told what can lead to civil penalties. In April 2025, the industry's self-regulator (DSSRC) also found that Pruvit used atypical earnings claims to market its opportunity.

Falling Commissions and the Herbalife Sale

A 2023 legal dispute between Brian Underwood and a former top Promoter revealed a corporate pay suspension and a "recent dramatic decrease" in distributor commissions. In June 2024, Pruvit announced a $107 million buyback that returned it to full founder ownership.

Less than a year later, on March 12, 2025, Herbalife announced a binding agreement to buy 100% of Pruvit's assets for about $25 million to $30 million, plus possible performance payments. Herbalife said Pruvit had about 19,000 active distributors in 37 countries and would keep operating independently for up to two years, while Herbalife began selling its own ketone products. It did not say what would happen to Pruvit Promoters' compensation after that.

For a would-be Promoter, the point is simple: you would be building a downline in a brand whose new owner has said it will run independently for a limited period, with no published plan for distributors after that.

Is Pruvit a Scam?

No. Pruvit sells real products and has been operating for a decade. But the opportunity has serious drawbacks: an FTC warning over health and income claims, repeated findings of atypical earnings claims, falling commissions, and an uncertain future under Herbalife. We would not join Pruvit to make money.
